This sale agreement is effective September 23, 2005 between Premium Energy, LLC, a Delaware limited liability company (“Buyer”), on the one hand, and the shareholders (“sellers”) of Buchanan Energy Corporation, LLC, a limited liability company established in Virginia (the “company”) on the signatory pages of this agreement. The buyer and seller are referred to as “parties” in this agreement.
